1. Program Overview
Program Overview - The Video Subscription Program is a flexible, scalable video content production program that also includes other related marketing services.
It is designed on a model of pooled points bought at a value, and spent on video and other services across a 12-month subscription period.
The video and services are all allocated a points value, where costs per point is determined by what Tier level of the program the Client enters into.
2. Subscription Term
Subscription Term - The program has a subscription term for a period of 12 months.
3. Monthly Payment
Monthly Payment - Payments are due monthly or in full up-front if otherwise arranged. Invoicing is on strict 30 day terms and invoiced on the 1st of each month and due on the 30th.
You may elect to commence your program immediately. In this scenario for example, in the case of starting on the 16th of the month, your payment 1 is made, then on the 1st of the following month, invoiced again with 30 day terms for your payment 2.
Program Commencement and Finish Dates - Your commencement date of joining and starting the program is the date of your first invoice payment. The end date of that annual subscription is that exact date 12 months later the following year.
4. Points System and Allocation
Points System - The Video Subscription model is based around a points value given to a set of pre-determined videos to be produced. Each point has a value relative to the tier of the program subscribed to. These Tiers are;
Tier 1 - Foundation - $450mth - 58 points for use
Tier 2 - Growth - $750mth - 100 points for use
Tier 3 - Momentum - $1,450mth - 200 points for use
Tier 4 - Expansion - $1,850mth - 265 points for use
Points Per Video & Services Table - The points required per video and services is contained in the âFranchise Video Subscription Programâ downloadable Explainer Booklet HERE. The points at the time of commencement remain in place for the Client for the 12 month subscription.
Adding Additional Points During Subscription - During the subscription period, the Client can increase their points balance in parcels of 25 points at a time for the Per Point price relative to their current Tier pricing.
For example, at Tier 3 level at $87 Per Point, a purchase of 25 additional points would be for a total $2,175. These additional points are contained within that current subscription year, and treated like any unused (if so) points at the end of that current subscription period.
Changes to Points System - The points cost and requirements for videos may change over time to respond to market and operational needs. Any changes will be notified in writing, but the changes will not alter the points status that the Client entered into in their current subscription, only in subsequent contracted subscriptions.
5. Points Redemption
The Client redeems points for video content and or other services listed in the Explainer Booklet HERE, via a Booking Request.
The Client can build their own video strategy by allocating points to the content bundle they desire, and or a request for a Strategy Synch discussion can also be made to sharpen any thinking or strategy. A Master table of points used and available will be maintained by the company for the Client.
6. Points Expiry
Points Expiry - The period of subscription and points being valid is 12 months. The onus is on the Client to ensure use of their points within the time frame. For any points unused during the 12 month period, they either are
a. Are forfeited, or
b. A fee PER point of $30+gst to carry points across into a subsequent 12 month program.
In order to carry points over, the client MUST also enter into another 12 month subscription program on offer immediately following the completion of the current program.
7. Production Scheduling
Booking Your Production Requests - To request a production and redeem your points for video or services, you can make a request through our standard Booking Form that you will be provided. You can also request advice and guidance through this for the most effective use of your points to aid in your planning.
Production Booking Time Frame - Unless otherwise agreed in writing, a minimum of 6 weeks notice for a requested film shoot is required. Further, unless agreed in writing, for scheduling and operational reasons, additional production bookings cannot overlap within 6 week windows.
Requests to redeem a volume of points within the final 8 weeks of the Client annual subscription period may not be accommodated within the current subscription term due to production scheduling limitations.
Unprofitable Productions - Due to the nature of on-site and on-location Video production, we reserve the right under certain circumstances determined by us, to reject or refuse productions that are deemed unprofitable, or of insufficient profit. If so, we will suggest an alternative option.
Facilitating Production Arrangements - The Client is responsible for facilitating arrangements for production aspects of their program. This includes but is not limited to; organising timings and availability of interviewees and participants, pooled production dates to enable efficient multiple productions, providing any elements, information, imagery & graphics (as applicable) talent and or interviewees.
Fair Use - A Fair Use Policy applies. Requests considered unreasonable, be it for timing, publishing, appearances on shows or podcasts, locations or volume of production in a time frame or more, may be considered inconsistent with a âfair useâ approach and may be denied or required revision options to proceed at the discretion of The Company. This policy may also apply to certain Travel Requests where alternate dates will be suggested.
Inter-State Trip and Production Limits - To ensure the program is profitable and efficient for all involved, in order to have a scalable content model, limits on inter-state productions within a 12 month subscription period are imposed. These limits depend on your program Tier level. The Company is based out of the Gold Coast, QLD and thus, refers to productions in and beyond that base. The limits for travel per Tier are as follows;
Tier 1 - Foundation - $450mth - No more than 1 inter-state production trip - all same day production unless otherwise agreed.
Tier 2 - Growth - $750mth - No more than 2 inter-state production trips - all same day production unless otherwise agreed
Tier 3 - Momentum - $1,450mth -No more than 3 inter-state production trips - all same day production unless otherwise agreed
Tier 4 - Expansion - $1,850mth - No more than 3 inter-state production trips - all same day production unless otherwise agreed
Unless otherwise agreed in writing, production is limited to metro Gold Coast, Brisbane, Melbourne, Sydney locations only. Other locations can be âCustom Quote Requestedâ by the Client and will be considered, however, acceptance cannot be assumed and is not guaranteed.
Filming Hours and Blackouts - Filming and production hours are in business hours. From time to time there may be some blackout periods for production. These will be advised in advance. Block outs with no production bookings typically will relate to;
a. Public Holidays
b. Easter period
c. Christmas âshutdownâ approx ranging 16 Dec - 10 Jan annually (exact dates TBC)
Publishing Time Frames - The Company reserves the right to determine publishing time frames of content in accordance with fair use, operational capabilities and scheduling.
8. Additional Services
Request to Quote Products & Services Not Offered or Outside of Program Scope - The products and services included within the Video Subscription Program are listed in the Explainer Booklet HERE .
In order to potentially use points on a product or service not included, the Client can request a âQuoteâ for The Company to assess and provide feedback and potentially a points or costing on. The Company is not obliged to agree to change the program scope, even for one-offs, however, the request will be given fair consideration and feedback provided.
An alternative is to give consideration to undertaking the services in addition and outside of the Subscription Program.
9. Incorporation of General Terms
Incorporation of General Terms - These Video Subscription Program Terms operate in conjunction with the Company's General Terms and Conditions for Services ("General Terms"). By entering into this Program, the Client agrees to both these Specific Video Subscription Program Terms and the General Terms.
10. Priority of Terms
Priority of Terms - In the event of any inconsistency between these Specific Video Subscription Program Terms and the Company's General Terms and Conditions, these Video Subscription Program Terms will prevail to the extent of the inconsistency.
Application of General Terms- Except where specifically modified by these Program Terms, all services delivered under the Video Subscription Program are subject to the Companyâs General Terms and Conditions, including provisions relating to intellectual property, payment, delivery timelines, revisions, cancellation, and limitation of liability.
